TradeLog NZ is a record-keeping and tax estimation tool. The calculations it produces are a guide only and do not constitute formal tax advice. Tax laws change, and individual circumstances vary. Always review your tax position with a qualified New Zealand tax accountant or tax agent before filing your IR3 return. TradeLog NZ accepts no liability for errors in your tax return. ird.govt.nz
These Terms of Service (“Terms”) govern your use of TradeLog NZ (“Service”), operated by TradeLog NZ Limited (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
TradeLog NZ is a trading journal and tax estimation tool designed for New Zealand active traders. It helps you record trades, calculate NZ income tax estimates, track deductible expenses, and generate a tax summary for reference when preparing your IR3 return.
The Service is provided on an “as is” basis. We do not guarantee continuous availability, error-free operation, or that tax calculations will be accurate in all circumstances.
2. Eligibility
You must be 18 years or older and a resident or tax resident of New Zealand to use the Service. By registering, you confirm that the information you provide is accurate and that you will keep it up to date.
3. Accounts
You are responsible for keeping your login credentials secure. You must not share your account with others. If you suspect unauthorised access to your account, notify us immediately at legal@tradelog.nz.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent purposes.
4. Subscriptions and billing
TradeLog NZ offers a free tier and paid subscription plans (Starter, Pro, Accountant). Paid plans are billed monthly in New Zealand Dollars (NZD) via Stripe.
- Cancellation — You may cancel your subscription at any time from Account Settings. Access continues until the end of the current billing period. No refunds are issued for partial months.
- Price changes— We will give you at least 30 days’ notice of any price increase via email or the in-app announcement banner.
- Failed payments — If a payment fails, we will notify you by email and attempt to retry. Continued failure may result in your account being downgraded to the free tier.
5. Free tier limits
Free accounts are limited to 30 trade records. Once the limit is reached, you must upgrade to a paid plan to add more trades. Existing free trade records are not deleted on upgrade or downgrade.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of NZ law.
- Attempt to reverse-engineer, scrape, or extract data from the Service by automated means.
- Share or resell access to the Service.
- Upload data that you do not own or have the right to use.
- Attempt to gain unauthorised access to other users’ data.
7. Tax disclaimer
TradeLog NZ provides tax estimates based on the information you enter and the tax rules programmed into the Service. These estimates:
- Are a guide only and do not constitute formal tax advice.
- May not reflect all aspects of your individual tax situation.
- Are based on IRD guidelines current at the time of programming — tax rules change, and we may not reflect the most recent changes immediately.
- Should be reviewed with a qualified NZ tax accountant before you file your IR3.
We accept no liability for underpayment, overpayment, or penalties arising from reliance on TradeLog NZ’s tax estimates. The Inland Revenue Department (IRD) is the authoritative source for New Zealand tax rules.
8. Intellectual property
All software, design, content, and branding in the Service is owned by TradeLog NZ Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own personal trading record-keeping.
Your trade data remains yours. We claim no intellectual property rights over the records you enter into the Service.
9. Data export and portability
You may export your trade data in CSV format at any time from the Trades page. We will continue to make export available for at least 90 days after any notice to discontinue the Service.
10. Limitation of liability
To the maximum extent permitted by New Zealand law, TradeLog NZ’s total liability for any claim arising from use of the Service is limited to the amount you paid us in the 3 months preceding the claim.
We are not liable for indirect, consequential, or incidental losses including lost profits, loss of data, or financial penalties from the IRD.
Nothing in these Terms limits liability that cannot be limited under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.
11. Disputes
We aim to resolve any disputes informally first. Contact us at legal@tradelog.nz. If we cannot resolve the dispute within 20 working days, either party may refer the matter to the Disputes Tribunal (for claims under $30,000) or the appropriate New Zealand court.
These Terms are governed by the laws of New Zealand. You agree to submit to the non-exclusive jurisdiction of the New Zealand courts.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified at least 14 days in advance via email or the in-app announcement banner. Continued use after the effective date constitutes acceptance of the updated Terms.
13. Termination
You may close your account at any time from Account Settings. We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity.
On termination, you retain the right to export your data for 30 days before it is deleted.
